In a major move to secure its leadership in the next generation of digital marketing, Adobe (Nasdaq:ADBE) announced today that it has entered into a definitive agreement to acquire Semrush (NYSE:SEMR) for approximately $1.9 billion. The all-cash transaction, valued at $12.00 per share, brings one of the world’s leading SEO and brand visibility platforms under the Adobe umbrella.

This acquisition marks a significant pivot for the industry, signaling that the battle for digital visibility has officially moved beyond traditional search engines and into the realm of Generative AI and Large Language Models (LLMs).

The Strategic Shift: From SEO to GEO

The core driver of this acquisition is the industry’s rapid shift toward Generative Engine Optimization (GEO). As AI agents increasingly act as intermediaries between brands and consumers, ensuring those agents have accurate, positive data about a brand is critical. Adobe plans to address this through products like Adobe Brand Concierge, a newly introduced solution designed to solve “major pain points for brands embracing agentic AI”.

For Chief Marketing Officers (CMOs), the rise of LLMs has created anxiety about discoverability. Consumers are increasingly turning to platforms like ChatGPT for recommendations and purchase decisions rather than traditional search.
